You have several business ventures under way. Should we gather them in a single LLC, or each be placed in a separate LLC?

This Article explores the advantages and disadvantages of using multiple limited liability companies. Start with the bad news first, the rec.

Cons

The most obvious con of forming multiple LLCs is cost.

First, it costs money to form an LLC, you no longer fit, the more it costs. The costs of training LLC include both the cost of servicing your lawyer (or line document processing company like Legalzoom) and the filing fee for the report you create your LLC.

In addition, some states (like California), charge annual "Franchise Tax" or equivalent tax on each LLC.

Therefore, if you have two liability companies limited, then the cost is twice each year in these countries if you had all your business under the umbrella of a single LLC.

The other con of LLCs many colleagues is the additional administrative work to have more of an LLC. This is particularly a problem at tax time.

For example, each multi-member LLC must file either a Form 1065 annually (for LLCs taxed as partnerships) or Form 1120 (for LLCs taxed as corporations).

Next, each multi-member LLC must issue K-1 to all members.

So if you have multiple LLCs, you'll have multiple tax returns and K-1S flying around.

Pros

The most pro to have multiple companies with limited liability is the liability protection increased. If all your transactions are in a single LLC, if a company gets to court, then the assets of all other companies in the LLC are exposed to such liability.

This is particularly the case with real estate.

My company has clients that are large commercial developers, and all new development is a separate LLC. Often, each phase of development will be a separate LLC. In addition, there will be separate LLCs for the industrial, commercial, residential and light portions in a mixed use planned community (eg community-New Urbanism).

The reason for the separation of your estate in LLCs are separate So if there is a problem with one piece of property, debts caused by the property does not threaten your other assets.

We are not talking only the proverbial "slip and fall" case. While the prospect of someone falling and getting hurt on your property is a concern Commune by the media, one of the biggest risks to owning property is the environment.

Environmental Cleanup costs can often exceed the value of the particular piece of property. VB.NET beginner question…?

I’ve only been studying VB for a month now, but I was just wondering… When you create multiple forms for an application, how do you link them together? Say for example a login window linking to another window with buttons linking to other forms?

They are “linked” together, if you will, by the form name. Say you have Form1, Form2, Form3, where Form1 is the main

Form1 would create a form2 and display it
dim other as Form2
other.ShowDialog()

it can also access other methods and variables on the other form via other.value (assuming it has a variable called value).

Same with Form3 which could be accessed by Form1 or 2.
